Coffee Chat Terms of Service
These Terms of Service (“Terms”) govern access to and use of Coffee Chat websites, applications, AI features, participating-location experiences, merchant pilots, dashboards, and related services (collectively, the “Service”).
By creating an account, signing in, checking in at a participating location, or otherwise using the Service, you agree to these Terms and to our Privacy Policy.
For these Terms, “Coffee Chat,” “we,” “our,” or “us” refers to Coffee Chat, operated by Chen Li, unless Coffee Chat later forms a separate legal entity.
1. Eligibility
You must be at least 18 years old and able to enter a binding contract to use the Service.
If you use the Service on behalf of a business, you represent that you have authority to bind that business and that “you” includes the business.
2. Accounts
You are responsible for your account credentials and for activity under your account. Keep your password secure and notify us promptly of unauthorized use.
Space host accounts are separate from guest chat accounts. Do not use host credentials for guest-only features or vice versa except as the Service allows.
3. Acceptable Use
You agree not to:
- violate law or others’ rights;
- submit unlawful, harmful, harassing, or deceptive content;
- probe, scrape, or overload the Service without permission;
- reverse engineer or circumvent security or usage limits except where law permits;
- use the Service to send spam or unauthorized marketing;
- misrepresent your identity or affiliation with a merchant.
We may suspend or terminate access for violations or risk to the Service or others.
4. AI Features
Coffee Chat provides AI-assisted chat and related tools. Outputs may be inaccurate or incomplete. You are responsible for how you use AI responses, especially for decisions that affect health, safety, finances, or legal rights.
Do not rely on the Service as a substitute for professional advice.
5. Merchant Pilots and Space Programs
Merchants participating in pilots must have authority to offer the Service at their location and to share branding and operational details you provide.
Coffee Chat may review merchant requests, set usage limits, and change pilot features at any time.
6. Beans, Quests, and Promotions
Beans are AI credits for premium AI experiences. Beans, quests, check-ins, and promotions are discretionary product features, not cash or stored value. We may change, limit, or discontinue them at any time.
Abuse of rewards or codes may result in forfeiture and account action.
7. Your Content
You retain rights to content you submit. You grant Coffee Chat a license to host, use, reproduce, and display that content as needed to operate and improve the Service, including for safety, support, and analytics in aggregated or de-identified form where applicable.
8. Our Intellectual Property
The Service, including software, branding, and design, is owned by Coffee Chat or its licensors. These Terms do not grant rights to our trademarks or brand assets except as needed to use the Service.
9. Third-Party Services
The Service may integrate with third parties (for example, sign-in providers, hosting, analytics, or AI inference). Their terms and privacy practices apply to those services.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, COFFEE CHAT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, COFFEE CHAT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID TO COFFEE CHAT FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) USD $100.
12. Indemnity
You will defend and indemnify Coffee Chat against claims arising from your misuse of the Service or violation of these Terms, except to the extent caused by our intentional misconduct.
13. Termination
You may stop using the Service at any time. We may suspend or terminate access with or without notice for any reason, including risk, inactivity, or legal requirements.
Sections that by nature should survive termination will survive.
14. Changes
We may update these Terms from time to time.
When we do, we will update the effective date or version above and may provide additional notice for material changes. Continued use after changes become effective constitutes acceptance.
15. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except where mandatory local law applies.
